Inpix Terms and Conditions of Use
These terms and conditions of use (“Terms”) form a legally binding agreement (“Agreement”)
between You and us, Inshorts India Advertising and Services Private Limited having our
registered office at 713, 7th floor, Devika Tower 6, Nehru Place, New Delhi - 110019, India
and corporate address at Plot No. 1, 4th Floor, Sector 16 A, Noida, Uttar Pradesh 201301,
India (“Our”, “We”, “Us”, “Inshorts India”), a private limited company incorporated under
the laws of India.
These Terms apply to all persons who access and use the “Inpix” app (“Inpix App”) (“You”,
“Your”, “User”) and are therefore required to read, understand, and accept the Terms.
Acceptance of the Terms and Usage of the Inpix App:
By accessing, and/or using the Inpix App in any manner, including but not limited to visiting
or browsing the Inpix App, You agree to be bound by all of the terms and conditions
contained in these Terms and all other rules and/or policies that may be published from time
to time on the Inpix App by Us, including the Privacy Policy which is incorporated herein
by reference and is available at https://getinpix.in/privacy/, which may be updated by Us
from time to time at Our sole discretion. If You do not agree with the Terms, please do not
use the Inpix App.
After downloading the Inpix App, You shall be required to enter Your mobile number, Your
clear and identifiable photograph, and Your name which will be authenticated by a One Time
Password (OTP) verification process. The information and photograph provided by you will
be used for identity verification, fraud prevention, and account authentication purposes.
Our Inpix App and Content is intended for Users who have attained the age of majority in
their jurisdiction. If You use the Inpix App, it shall be assumed that You meet the age of
majority. You are responsible for maintaining the confidentiality of Your account and for all
activities under Your account.
Access to and Use of Content
Upon successful verification, You will have access to Inpix App’s extensive library of
content, including but not limited to images, videos, graphics, templates, fonts, and other
design assets (collectively, “Content”). You may use the Content by incorporating Your
name, photograph, or other identifying elements to create personalized digital or printed
materials, including but not limited to greeting cards, invitation cards, posters, banners,
advertisements, promotional materials, branding assets, marketing collateral, public relations
(PR) materials, entertainment content, political campaign materials, or any other creative
work (“Creative(s)”).
License and Subscription Terms:
Subject to Your compliance with these Terms, We hereby grant You a limited, non-exclusive,
non-transferable and revokable license to use the Content available and Creatives made on
the Inpix App solely for personal use.
Free Trial:
We may offer new users a limited-time free trial of Our subscription-based services (“Free
Trial”). The duration of the Free Trial will be specified at the time of availing Free Trial. To
activate free trial, You must enter valid payment details (Debit Card/Credit Card/UPI).
Unless cancelled before the trial period ends, Your Free Trial will automatically convert into
a paid subscription, and the applicable subscription fee will be charged to Your selected
payment method. Free Trials are available only once per user unless stated otherwise. We
reserve the right to revoke or modify Free Trial offers at Our sole discretion.
Subscription Plans & Billing:
After the Free Trial period (if applicable), or upon selecting a paid plan, You will be enrolled
in a subscription-based model with recurring payments. We offer various subscription plans,
including but not limited to monthly at INR 99 and yearly at INR 499, which provide
unlimited access to the Content and Creatives. The subscription fee will be charged
automatically on a recurring basis (e.g., monthly or yearly) until cancelled by You. By
subscribing, You authorize Us to charge the applicable fee using Your chosen payment
method. If a payment fails, We may suspend or terminate Your access.
Discounts & Promotional Offers:
We may, at Our sole discretion, offer discounts, promotional pricing, or limited-time offers
on subscription plans, either on special occasions or as part of marketing campaigns. The
terms, availability, and duration of such discounts will be determined by Us and may be
subject to change without prior notice. Discounts cannot be clubbed with other offers unless
explicitly stated. Cancellation Policy:
You may cancel your subscription at any time by navigating to the “Profile” section on the
Inpix App and then clicking on “Premier Member Settings” option, which will lead You to
the “Cancel Membership” option. Please click on the same and follow the process. Once You
submit the request, We shall process your cancellation request within 24 hours of receiving
such a request.
Changes to Content & Features & Language:
We continuously enhance Our services by introducing new features, improving Our
offerings, and occasionally retiring features that may no longer be effective. As a result, the
availability of certain Content, Creative, products, or services within your subscription may
change over time.
The Inpix App is currently provided in the English language. We may, at Our sole discretion,
make the Inpix App available in other languages in the future. However, We do not guarantee
the availability of any additional languages.
Usage of Inpix App and Restrictions:
a) You shall ensure that any information that You provide, including during registration,
is true, accurate, complete and updated;
b) You confirm that Your photograph is a true and accurate representation of Yourself.
c) You will only use the Inpix App, Content or Creative for non-commercial and
personal purposes;
d) You will not use the Inpix App or any Content provided thereof or any Creative for
any purpose that is illegal, unlawful or prohibited by this Agreement;
e) You will not use the Content or Creative for unlawful, misleading, defamatory,
obscene, or fraudulent purposes;
f) You will not sell, resell, redistribute, sublicense, or transfer any Content or Creative
to third parties;
g) You will not copy, reproduce, alter, modify, create derivative works from the Inpix
App or its Content/Creative beyond the intended use as per these Terms; ;
h) You will not confer any of Your rights to any third parties;
i) You shall not use automated tools like web crawlers, web robots, web scutters, ants,
automatic indexers, bots, worms, and other such devices to extract Content or in
connection with Your usage of the Inpix App;
j) You shall not use the Inpix App in any manner that could damage, disable,
overburden, or impair any part of the Inpix App or interfere with any other party’s
use of the Inpix App;
k) You shall not obtain or attempt to obtain any Content through any means not
intentionally made available or provided for through the Inpix App;
l) You shall not post or transmit any worms, viruses, Trojans, or other harmful,
disruptive, or destructive files, code, or programs to the Inpix App.
m) You shall use Your actual name and/or photograph on the Creative, and shall not
falsely represent yourself as another person or representative of another person in the
Creative;
n) You shall not use any information including but not limited to name, or photograph
that belongs to another person and to which You do not have any right, in the
Creative;
o) You shall not make any Creative that is defamatory, obscene, pornographic,
paedophilic, invasive of another’s privacy, including bodily privacy, insulting or
harassing on the basis of gender, libellous, racially or ethnically objectionable,
relating or encouraging money laundering or gambling, or otherwise inconsistent
with or contrary to the laws in force;
p) You shall not make any Creative that is harmful to child;
q) You shall not make any Creative that will infringe any patent, trademark, copyright,
privacy, publicity rights or other proprietary rights of any third party;
r) You shall not make any Creative that threatens the unity, integrity, defence, security
or sovereignty of India, friendly relations with foreign States, or public order, or
causes incitement to the commission of any cognisable offence or prevents
investigation of any offence or is insulting other nation;
s) You shall comply with the applicable laws on data protection and shall not use any
personal identifiable information of any other person without their consent in the
Creative.
t) You shall not remove or alter any watermarks, copyright notices, or ownership marks
on the Content or Creatives.
Intermediary Status and No Liability
We are an intermediary under the Information Technology Act, 2000 and The Information
Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (“IT
Rules”). These Terms are published in accordance with the provisions of Rule 3(1) of the IT
Rules. Our responsibility for anything that happens on our Platform is strictly governed by the
laws of the Republic of India and is limited to that extent. We do not have any control over the
Creatives made by Users, but We expect all Users to comply with these Terms.
No Guarantee & Refund:
We do not guarantee that the final output of the Creative will meet Your expectations in terms
of design, colour accuracy, layout, or overall appearance. We shall not be liable for any
dissatisfaction, perceived defects, or discrepancies in the Creative, and no refunds or claims
shall be entertained on this basis.
Subscription fees and purchases are non-refundable including for unused periods or partial
months, except where required by law. Refund may only be provided in extreme cases of failure
or error in payment due to technical issues/glitches with the third party payment gateway and
for no other reason. If the Inpix App malfunctions or a purchase is defective, please contact
Our support team for resolution at inpix@inshorts.com.
Intellectual Property:
Your use of the Inpix App and Content is, and at all times shall be, governed by and subject to
the laws regarding copyright, trademark, patent, and trade secret ownership and use of
intellectual property. We respect the intellectual property rights of others and do not hold any
responsibility for any violations of any intellectual property rights by You. You shall be solely
responsible for any violations of any laws and for any infringements of any intellectual property
rights caused by Your use of the Inpix App or Content or Creative through Your device.
Ownership of the Inpix App & Content & Creative:
All trademarks, brands and service marks of the Inpix App are Our sole property. In addition,
We own and retain all the intellectual property rights to all the Content, templates, and design
assets, and have requisite license to provide the Inpix App and Content to You. In addition, all
intellectual property rights in the Creatives shall vest with Us upon their creation and shall remain
Our intellectual property in perpetuity and worldwide. By virtue of agreeing to this Agreement
with Us, You do not acquire any rights in Our intellectual property, except for as specifically set
out in these Terms. Some Content may be sourced from third parties. We do not guarantee its
availability or usage rights beyond the scope of the Inpix App.
Payment Gateway:
You acknowledge and agree that payments made on the Inpix App are processed through a
third-party payment gateway. Therefore, when You make a purchase, You may additionally
enter into a separate contract with the respective third-party payment gateway. By using the
payment services, You are subject to the terms and conditions, privacy policies, and other
applicable policies of the respective payment gateway provider. We do not control or assume
liability for the services provided by the payment gateway, including but not limited to payment
processing errors, delays, or failures.
It is Your responsibility to review and comply with the terms and conditions of the payment
gateway provider before making any payment. By proceeding with the payment, You consent
to sharing the necessary information required for payment processing with the payment
gateway provider.
In the event of any disputes or issues related to payment processing, You agree to contact the
payment gateway provider directly for resolution. We are not liable for any losses, damages,
or claims arising out of or in connection with Your use of the third-party payment gateway
services.
Termination and Account Suspension:
We may suspend, restrict or terminate Your account, access to Inpix App or any associated
services at any time without notice to You under the following circumstances:
a) You breach or violate these Terms, Privacy Policy or any other applicable policies.
b) You fail to provide a valid photograph or submit misleading/incorrect information.
c) You fail to make timely payments towards your subscription fees, or any other paid
features;
d) Your use of the Inpix App violates any applicable laws, regulations, or third-party
rights, or involves fraudulent, abusive, or unethical; conduct;
e) Your use of the Inpix App creates legal, financial, reputational, or security risk to us,
other users, or third parties;
f) You misuse, exploit, or manipulate the Inpix App’s Content, Creatives, subscription
model, or services in any way contrary to the intended use;
g) We are required to do so by law (for example, where the access to and/or provision of
Inpix App to You becomes, unlawful); or
h) We decide to discontinue, modify or replace the Inpix App or any of its features or
services.
Consequences of Termination or Suspension:
If Your account is suspended or terminated:
a) You will lose access to Your account and any purchased, created, or saved Content or
Creative.
b) You will not be entitled to any refunds, credits, or reimbursements for unused portions
of a subscription or purchased Content.
c) We may retain or delete any data associated with Your account, subject to applicable
laws and our Privacy Policy.
d) You may be barred from re-registering for the Inpix App in the future.
Termination by You:
You may request to terminate Your account at any time by sending an email
inpix@inshorts.com with Your registered details. Upon termination:
a) Your access to the Inpix App and Content will cease immediately.
b) Any subscription fees already paid will not be refunded, except as required by
applicable laws.
c) We may continue to retain certain information as per Our Privacy Policy and legal
obligations.
Privacy Policy:
Our Privacy Policy, available at https://getinpix.in/privacy/, explains how We collect and use
Your data. By using the Inpix App, You agree to Our data practices.
Disclaimer of Warranty and Liability:
THE INPIX APP, CREATIVES AND CONTENT ARE PROVIDED ON AN "AS IS" BASIS.
WE OFFER NO WARRANTY, EXPLICIT OR IMPLIED, REGARDING ANY PART OF
THE INPIX APP, CREATIVES AND CONTENT, THE ACCURACY OF ANY
INFORMATION, OR ANY RIGHTS OR LICENSES UNDER THIS AGREEMENT
INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF
MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT
REPRESENT OR WARRANT THAT THE INPIX APP, CREATIVES AND CONTENT
WILL MEET YOUR REQUIREMENTS OR THAT THEIR USE WILL BE
UNINTERRUPTED, ERROR FREE OR FREE FROM SECUIRTY VULNERABILITIES.
WE DO NOT WARRANT THAT THE INPIX APP, CREATIVES OR CONTENT
PROVIDED WILL BE SUITABLE FOR ANY SPECIFIC PURPOSE OR THAT IT DOES
NOT INFRINGE THIRD-PARTY RIGHTS.
WE SHALL NOT BE LIABLE TO YOU OR TO ANY OTHER PERSON OR ENTITY FOR
ANY GENERAL, PUNITIVE, SPECIAL, INDIRECT, CONSEQUENTIAL OR
INCIDENTAL DAMAGES, BUSINESS OPPORTUNITIES, OR REPUTATIONAL HARM
OR LOST PROFITS OR ANY OTHER DAMAGES, COSTS OR LOSSES ARISING OUT
OF YOUR USE OF THE INPIX APP, CREATIVES OR CONTENT. WE SHALL ALSO
NOT BE LIABLE FOR ANY ISSUES ARISING FROM THIRD-PARTY SERVICES
LINKED OR INTEGRATED INTO THE INPIX APP.
Indemnity:
You agree to indemnify, defend and hold harmless Us, and Our subsidiaries, affiliates and
agents and their respective officers, directors, employees, successors and assigns from and
against any claim, proceeding, loss, damage, liability, cost, demand or expense (including but
not limited to attorney’s fees) of any kind arising out of: (i) Your access to or use of the Inpix
App, Creatives or Content; (ii) any breach by You of Your obligations and/or restrictions under
these Terms; (iii) Your violation of the rights of any third party, including any infringement of
intellectual property, or of any privacy or consumer protection right; (iv) any violation of law
or contractual obligation and any claims, demands, notices pursuant to such violation; (v) Your
negligence or wilful misconduct.
Governing Law and Jurisdiction:
Any dispute arising out of on in connection with these Terms shall be governed by the laws of
India. The courts of Delhi shall have exclusive jurisdiction over any disputes arising out of or
in connection with these Terms.
Changes to Terms:
These Terms may be updated/revised by Us from time to time without any notice to You.
Changes will be effective upon posting in the Inpix App. If You continue to use the Inpix App
after any such updates/revision, it shall be construed as an acceptance of the modified Terms
by You.
Survival of Obligations:
Certain provisions of these Terms, including but not limited to intellectual property rights,
disclaimers, limitations of liability, indemnification, and dispute resolution, shall survive
termination of Your account.
Entire Agreement:
These Terms incorporate the following documents by reference:

These Terms constitute the entire understanding between Inshorts India and You concerning
the subject matter hereof and supersedes all prior agreements and understandings between You
and Us.
